BY-LAWS BARNES AREA HISTORICAL ASSOCIATION As revised  December 21, 2006

ARTICLE I NAME The name of the Organization shall be the Barnes Area Historical Association (BAHA)

ARTICLE II PURPOSE A. The business and purpose of this Organization shall be educational in collecting, identifying, preserving and disseminating knowledge and history relating to the Barnes area.

B. To this end, said Organization may collect materials and artifacts relating to the history of the Barnes area.

C. BAHA may hold property, both real and personal in any amount, and may lend, sell, lease or rent such property provided such action is consistent with the terms of the gift, bequest or other conveyance under which the title was originally acquired.

D. BAHA may hold exhibits, stage pageants, erect markers, and may sponsor or engage in activities with the major purpose outlined above, either on its own, or in cooperation with another agency, local or otherwise.

ARTICLE III MEMBERSHIP A. Any person interested in history, especially the history of the area, who applies for membership and tenders the necessary dues shall thereby become a member of the said Association. B. Memberships (and dues) will be in the following categories: Individual Annual $15 Individual Life $400 Family Annual $25 Business Annual $50 Couple Life $500

C. Annual memberships will be renewed on January 1.

D. Charter Members will be those who become members before the end of 2004. Their annual membership dues include 2005. E. Any member shall be dropped automatically by the treasurer for non-payment of dues over such period as may by established by the Board of Directors. ARTICLE IV OFFICERS A. The elective officers are president, vice president, secretary and treasurer and shall be elected at the Annual Meeting for a one-year term. These elected officers shall also serve as members of the Board of Directors.

B. Five members will be elected to serve on the Board of Directors and shall serve three-year terms.

C. Two of the initial directors shall serve three-year terms; two shall serve a two-year terms and one shall serve a one-year term. Thereafter, at each annual meeting, directors will be elected for three-year terms. If not re-elected, the retiring president shall serve as past-president, for a period of one year, with no voting rights.

D. The Board of Directors may appoint a corresponding secretary, curator, historian and/or other personnel as deemed necessary. The curator or corresponding secretary would be ex-officio members of the Board of Directors without voting privileges.

ARTICLE V BOARD OF DIRECTORS A. The Board of Directors shall have the power to conduct all affairs of the society, subject to the intent of the by-laws and shall report all such actions at the next regular meeting of the organization.

B. The Board of Directors shall have the power to create such regular and special committees as is deemed necessary.

C. Members of the committees shall be appointed by the president with the approval of the Board of Directors.

D. The Board of Directors shall develop a Deed of Gift form to be signed by persons donating artifacts and a On Loan form to be signed by persons who loan items to the Organization for display.

ARTICLE VI ELECTIONS A. At the Board meeting preceding the annual meeting, a nominating committee of three people shall be appointed by the president. It shall be the duty of this committee to present one or more names for each office to be filled and to prepare ballots for voting (unless the Board decides to have a voice vote). The list of candidates shall be read at the annual meeting with additional nominations being accepted from the floor.

B. A majority vote by ballot or voice vote of the members present and voting shall elect officers and directors.

D. Officers and directors shall be installed and shall assume their duties at the first Board Meeting following the annual meeting.

E. Any vacancy of officers or directors shall be filled by appointment by the Board of Directors, and the replacement shall hold office until the next annual meeting. ARTICLE VII MEETINGS A. Annual Meetings 1. There shall an Annual Meeting of the Organization in September each year, at which time an election of officers and directors shall take place. 2. Six (6) members shall constitute a quorum at the Annual Meeting. B. Monthly and Other Meetings 1. The regular meeting of the BAHA Board of Directors shall be the third Thursday of each month unless the Board of Directors decides differently. 2. Special membership meetings may be called by the president, or may be called if five (5) members, in good standing, request the president, in writing, to do so.

C. Board of Directors Meetings 1. The Board of Directors shall meet not less than four (4) times each year. Regular meetings, with a quorum of the Board present, shall constitute a meeting. 2. Four members of the Board of Directors shall constitute a quorum. 3. Special meetings of the Board may be called by the president. D. Any BAHA member in good standing may vote at the Annual meeting or at any special Membership meeting. All members are welcome and encouraged to attend all BAHA meetings

ARTICLE VIII AFFILIATIONS A. As an affiliate of the Bayfield County Historical Society (BCHS), this Chapter (BAHA) shall submit an annual report of its activities, as required by Section 44.03 (3) of the Wisconsin Statutes to the County Society. It shall keep the County Society informed as to results of its annual elections and as to the various projects and programs it undertakes. The BAHA shall give reasonable cooperation in forwarding Barnes area historical information to the County Society. B. BAHA, through its affiliation with the Bayfield County Historical Society, is also affiliated with the Wisconsin Historical Society, which regards it as its duty to aid local societies in their common pursuit of history.

C. BAHA shall send an annual payment to the Bayfield County Historical Society, which includes $2.50 from all annual membership dues, and $25.00 from all new life membership dues of this organization.

D. At the annual meeting, a representative shall be selected by the membership to represent the BAHA at Bayfield County Historical Society. 1. At least one representative should attend each meeting of the Bayfield Historical Society. 2. If the representative cannot attend a meeting, the president may appoint another BAHA member to do so.

ARTICLE IX PARLIAMENTARY AUTHORITY A. Proceedings in this organization will be governed by these bylaws.

B. If proceedings are not addressed in our bylaws, they will be governed by Roberts Rules of Order Newly Revised.

ARTICLE X AMENDMENTS

These by-laws may be amended by majority vote of members present voting at any regular or annual meeting, provided: A. the amendment is submitted in writing to the membership fifteen (15) days prior to the meeting, or B. is presented at a previous meeting of the Organization.

Page 4 of 4 ARTICLE XI DISSOLUTION

A. Upon dissolution of the Corporation, any assets in the form of cash, bank accounts, and CDs remaining thereafter, shall be conveyed to another local historical society as voted by the membership.

B. Artifacts in the Corporations collection may be offered back to their donors or heirs if known. If this is not possible, they will be transferred to other area historical societies upon the vote of the membership.

C. Where this is not possible, artifacts may be sold or destroyed.
